Delivery Assurance Terms of Use

Introduction

This optional extended shipping service addendum (“Addendum”) applies solely to the shipment of currency and it supplements and is incorporated into the Company’s Terms and Conditions and Privacy Policy. The Company’s Terms and Conditions still apply and shall govern anything not explicitly stated herein. The Extended Service is an add-on service; it only applies to Company Customers who purchase currency through the Company’s online platform AND explicitly elect to add the Extended Service for an additional fee.  This Addendum contains important information about, and governs the provision of, the Extended Service. Please ensure you read these terms thoroughly as they are legally binding.  To the extent of any inconsistency, ambiguity or conflict between this Addendum and the Agreement, the terms most protective or favorable to Company shall supersede and take precedence.

This Addendum, together with any documents and/or additional terms from the Company referenced herein, constitutes a legally binding agreement and is entered into between you and the Company upon your opting in and paying for the Extended Service.

The Company may modify this Addendum at any time by posting a revised version on the Company website and/or by emailing you the revised terms, which modifications will become effective for any elections of the Extended Service that occur after such notifications.  For the avoidance of doubt, each election of the Extended Service is subject to the version of this Addendum in effect at the time of the Customer’s order, as applicable.

Definitions

• " Company" refers to Xchange of America, Inc.
• " Extended Service" refers to the optional extended shipping service described herein.
• " Customer" or "you" refers to the individual or entity purchasing currency through the Company's online platform and opting for the Extended Service.
• " Non-delivery" means a shipment that is confirmed as lost in transit or deemed undeliverable by the Shipping Carrier.
• " Shipping Carrier" refers to any third-party delivery service used by the Company for the Original Order.
• " Original Order" refers to the initial purchase of currency by the Customer for which the Extended Service was purchased.
• " Replacement Shipment" refers to the reshipment of the Original Order under the terms of this Extended Service.

Description of the Extended Service

For an additional fee, Customers may opt to purchase Extended Service at the time of placing their order. Once an order has been placed and paid for, the Extended Service may no longer be purchased. If a Customer purchases Extended Service and their shipment is confirmed as not delivered by the designated Shipping Carrier due to loss in transit or being deemed undeliverable, the Company will, subject to these terms and conditions, ship a one-time replacement of the Original Order to the Customer free of additional charges.

Eligibility

The Extended Service is available as an option for all currency orders shipped to a real person at a valid address within the fifty states of the United States. This Extended Service is not available for any other location, (US Territories, international shipments, etc.) at this time. The option to purchase Extended Service will be presented to the Customer during the checkout process.

Cost of Extended Service

The fee for the Extended Service will be clearly displayed to the Customer during the checkout process before they complete their purchase. This fee is non-refundable, even if the Extended Service is not utilized.

Conditions for Replacement Shipment

A Replacement Shipment will only be provided under the following conditions:

• The original shipment must be confirmed as lost in transit or deemed undeliverable by the applicable Shipping Carrier, as evidenced by their tracking information or official communication.
• The Customer must notify the Company of the Non-delivery within five (5) days of the expected delivery date communicated at the time of the original shipment.
• The Customer must timely provide any information reasonably requested by the Company to investigate the Non-delivery.

A Replacement Shipment will not be provided under the following circumstances:

If for any reason the Customer does not pay for the products or the Extended Service, receives a credit, or if Customer initiates a chargeback.

The Shipping Carrier's tracking information indicates that the package was successfully delivered to the address provided by the Customer.

The Non-delivery is due to an error in the shipping address provided by the Customer.

The Non-delivery is due to circumstances beyond the Company's control, including but not limited to natural disasters, civil unrest, or government actions.

The package is refused by the Customer or Customer’s designated recipient.

The package is returned to sender for reasons other than being deemed undeliverable by the Shipping Carrier.

The package is late or otherwise still in transit.

The Customer fails to notify the Company of the Non-delivery within the specified timeframe.

If the Company reasonably suspects, believes, or has evidence that any use of this Extended Service is fraudulent, a scam, or that Customer in any other way is  attempting to use this Extended Service in a way that defrauds the Company.

Replacement Process

To request a Replacement Shipment under the Extended Service, the Customer must contact the Company's customer service department at (800) 796-2962. The Customer must provide their Original Order number and details regarding the Non-delivery as well as verify their identity to the customer service representative. The Company will review the information and, upon verification of Non-delivery by the Shipping Carrier and compliance with all of the terms and conditions herein, will arrange for a one-time Replacement Shipment, subject to availability. The Replacement Shipment will be sent to the original shipping address unless otherwise agreed upon by the Company.

Limitations

The Extended Service provides for one (1) Replacement Shipment per Original Order for which the service was purchased. The Replacement Shipment will be for the same type and amount of currency as the Original Order. If the originally purchased currency is no longer available, the Company will, at its sole discretion, offer a refund of the currency value at the time of purchase on the Original Order or an equivalent amount of an alternative currency.  For the purpose of clarity, the Extended Service will not apply to any lost Replacement Shipments.  The Extended Service ONLY covers the one single replacement.

Prohibited Activity and Abuse

The following activities are prohibited and considered abuse of the Extended Service:

Submitting false or misleading information to the Company to obtain a replacement or refund under the Extended Service.

Committing any act with an intent to defraud the Company.

Any act or communication which could lead to the Company experiencing a loss due to any misleading, false, or criminal acts or communications.

Circumventing or otherwise cheating the systems in place to prevent such losses described above.

Any violation of this section will constitute a breach of this Addendum and will therefore nullify any and all benefits or rights afforded to you herein. Furthermore, such acts or communications can result in criminal prosecution, civil prosecution, a bar from use of the Company’s services, or all of the above. These recourse actions are at the sole discretion of the Company. You agree that the Company can and will, within the confines of applicable law, use all information collected during transactions, communications, or any other interactions with you in an effort to pursue any of the recourses described above. This includes but is not limited to sharing your information, such as identifying documents or other information collected by the Company, with law enforcement.

Limitation of Liability

By using the Extended Service, you agree that under no circumstances will the Company be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or any other damages arising from your use of the Extended Service, including any denials of reshipment or refunds. In states that do not allow for such limitations of liability, it shall be limited to the fullest extent permitted. The Company’s liability shall never exceed the total transaction price in USD as stated in the Original Order details.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

Entire Agreement  

This Addendum constitutes the entire agreement between the Customer and the Company with respect to the Optional Extended Shipping Service and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to this subject matter.  Each Party to this Agreement acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, that are not embodied herein, and that no other agreement, statement, or promise regarding the Extended Services that is not contained in this Addendum shall be valid or binding. 

Miscellaneous

If any part of this Addendum is determined to be void, invalid, unenforceable, or illegal, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Addendum shall remain in full force and effect.
